1. Agreement Overview
These Terms and Conditions ("Agreement") govern the use of services provided by My-Virtual-CISO, a Fractional CISO service. By engaging with our services, you ("Client") agree to the following terms.
2. Services Provided
My-Virtual-CISO offers cyber security leadership services, including but not limited to Fractional CISO support, risk management, compliance guidance, incident response planning, and employee training. Specific services will be outlined in separate agreements or proposals.
3. Service Fees and Payment Terms
Fees for services are detailed in the service agreement or proposal. Payment terms, including any upfront payments or retainer fees, are agreed upon before the start of services. Payments are due as outlined in the invoice. Late payments may incur additional fees.
4. Client Responsibilities
The Client agrees to provide all necessary information, access, and resources to facilitate the successful delivery of services. The Client is responsible for ensuring that the information shared with My-Virtual-CISO is accurate and up to date.
5. Confidentiality
Both parties agree to keep all information exchanged during the course of the engagement confidential. This includes, but is not limited to, proprietary information, technical data, and business operations. Confidentiality obligations will continue after the completion of services.
6. Limitation of Liability
My-Virtual-CISO is committed to delivering professional services but makes no guarantees regarding the prevention of cyber-attacks, breaches, or system failures. Our liability is limited to the fees paid for services rendered and excludes indirect or consequential damages.
7. Termination
Either party may terminate the agreement with written notice. If the Client terminates before the end of the agreed period, payment for services rendered up to the termination date remains due. My-Virtual-CISO reserves the right to terminate the agreement for non-payment or breach of terms.
8. Intellectual Property
Any deliverables created during the engagement, including reports, presentations, and security strategies, are the property of My-Virtual-CISO until full payment is received. Upon full payment, the Client gains ownership of the final deliverables.
9. Force Majeure
My-Virtual-CISO will not be held liable for any delays or failure to perform services due to circumstances beyond our control, including but not limited to natural disasters, acts of war, or government regulations.
10. Governing Law
This agreement is governed by the laws of the United Kingdom (UK), and any disputes will be resolved through the courts of England.
Changes to Terms & Conditions
My Virtual CISO reserves the right to modify or update these Terms and Condition at any time. Clients will be notified of any significant changes.
